XBRL International is seeking candidates for the XBRL International Board of Directors (XII Board).The elections process for the 2015/2016XII Board will be presented in two separate elections this year aording to the current needs of the board.

The first Election will be held during the XII Member Assembly meeting held on 8June 2014in Orlando,FLA USA in the following categories:

One (1)Jurisdiction Voting Representative –all Jurisdictions are eligible to nominate a candidate

One (1)At-large seat eligible to any candidate (including Jurisdiction and anizational Direct members,any XII eligible participant or any other individual).

Oct/Nov 2014Elections will be held following the Virtual Member Assembly Meeting (date being determined)via electronic vote in the following categories:

One (1)Jurisdiction Voting Representatives –all Jurisdictions are eligible to nominate a candidate

One (1)anisational Direct Members;all Direct Members are eligible to nominate a candidate

Two (2)At-Large seats eligible to any candidate (including Jurisdiction and anizational Direct members,any XII eligible participant or any other individual).

Process

The Nominees will be elected to the XII Board at the Member Assembly meetings aording to the schle above.As these are working positions,candidates should ensure that they have sufficient time and,if appropriate,employer support to devote to this position.

The Election procres for the vote on nominees for XII Board of Directors are as follows:

Nominees will be recruited by XII Nominations mittee from the XBRL munity and broader supply chain participants.

XII Nominations mittee will:

1.Prepare a ballot from eligible candidates for the Jurisdictional Voting Representatives (Note:only Jurisdictional Voting Representatives of the Member Assembly will be eligible to vote for this category of Board member).Each eligible voting representative will cast one vote for each seat available.(i.e.3Board seats from this category –3votes may be cast for 3different candidates);

2.Prepare a ballot from eligible candidates for the anisational Direct Members (Note:only Direct Member Voting Representatives of the Member Assembly will be eligible to vote for this category of Board member).Each eligible voting representative will cast one vote for each seat available.(i.e.3Board seats from this category –3votes may be cast for 3different candidates).

3.Present a slate of nominees for the At-Large Board of Director positions to the Member Assembly (Note:both Jurisdictional and anisational Direct Voting Representatives of the Member Assembly will be eligible to vote for this category of Board member).This slate of candidates will be nsidered in total rather than voted on for each individual candidate;

4.The XII Nominations mittee will nduct the actual elections,tally the votes and report the results to the Member Assembly.

Term

Terms of office will be for 2years with the Nominations mittee having the option to remmend one extension for either one or two years to the Member Assembly.An individual who has previously served the Board in any voting capacity bemes eligible for nomination after a two year absence.

Eligibility &Requirements

The XBRL International invites interested parties to submit their CV together with a candidate statement supporting their nomination by private email directly to be nsidered for the 8June elections,please submit no later than 23.59UTC on Friday 2May 2014and please specify for which category you are applying.The deadlines for the Oct/Nov elections are being determined and will be distributed when final.

The candidate statement should specifically address the following:

1.Experience/involvement with the XBRL International anization,if any.

2.Experience/involvement with any XII activities/initiatives/projects,if any.

3.Experience/exposure to implementing the XBRL technology.

4.Special skills or experience you will bring to the XII Board.

5.Unique ntributions you will make to the XII Board.

6.Explanation as to why you want to be an XII Board Member.

7.Explicit nfirmation that you have sufficient time and,if appropriate,employer support to participate as an XII Board member.

Individuals may nominate themselves but the Nominations mittee will also be pleased to aept nominations of individuals from other people.If you choose to nominate someone other than yourself,it would be very helpful if you would nfirm their interest prior to submitting the nomination;however,this is not required.If you nominate someone other than yourself and do not nfirm it with them,please make the nomination in sufficient time to allow us to ntact the individual ncerned to ask them whether they are willing to aept the nomination and submit their CV and candidate statement by the above deadline.

Mid May 2014:Town Hall meeting “Meet the Candidates”–each candidate should be prepared to provide a statement of interest in serving as a Director to the Members Assembly and answer questions.

8June 2014-Elections take place at Orlando Member Assembly meeting
